Terms of service.

These Terms of Service ("Terms") are an agreement between you and ShirePath Solutions LLC ("ShirePath," "we," "our," or "us"). Part 1 governs your use of our website. Part 2 is a plain-language summary of how we work on paid projects; the actual terms of any engagement live in a separate written agreement or statement of work, which controls if it conflicts with anything here. If you do not agree with Part 1, please do not use the site.

Part 1: Using this website

Acceptance

By accessing shirepathsolutions.com (the "site") you agree to these Terms and to our Privacy Policy. The site is an informational and marketing site; it has no accounts and asks for no information.

Acceptable use

You agree not to:

  • use the site for any unlawful purpose;
  • attempt to probe, disable, or overload the site or its servers;
  • scrape or bulk-download the site's content by automated means;
  • copy, republish, or redistribute our content except as allowed below or by law.

Our content and intellectual property

The site and its content, including the text, articles, design, layout, logos, and brand marks, are owned by ShirePath Solutions LLC or used with permission and are protected by intellectual-property laws. You may view the site and share links to it for your own personal, non-commercial use. Any other use, including reproduction or republication, requires our written permission. Third-party names and marks that appear on the site belong to their respective owners.

Links to other sites

The site links to third-party sites we do not control. We provide those links for convenience and are not responsible for their content or practices. Following them is at your own risk.

The site is provided as-is

The site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and uninterrupted or error-free operation. Content on the site is general information, not professional advice for your specific situation.

Limitation of liability

To the fullest extent permitted by law, ShirePath Solutions LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the site. Nothing in these Terms limits liability that cannot be limited under applicable law.

Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. Before filing suit, you and ShirePath agree to first try in good faith to resolve any dispute informally by contacting each other. Any dispute not resolved that way will be brought exclusively in the state or federal courts located in Maury County, Tennessee, and you consent to that venue.

Part 2: Professional services

This part is an informational summary of how we typically work with clients. It is not the contract for your project. Each engagement is governed by a separate written agreement or statement of work ("SOW"); where that agreement differs from this summary, the agreement controls.

Services

We provide web development, design, and technical consulting, including custom websites and web applications, maintenance and support, and technology strategy and assessment. The specific scope, deliverables, and timeline for your project are defined in your SOW.

Your responsibilities

As a client, you agree to:

  • provide accurate and complete information we reasonably request;
  • give timely feedback and approvals so the project can move forward;
  • confirm you have the right to use any content or materials you provide to us.

Intellectual property in project work

Your work product: upon full payment, you own the custom code, designs, and content we create specifically for your project, unless your SOW says otherwise. We may display completed work in our portfolio.

Third-party components: some projects incorporate third-party software, libraries, or assets under their own licenses; we will identify any such components and their terms.

Our materials: the reusable tools, frameworks, and methodologies we bring to a project remain ours and may be reused for other clients.

Fees and payment

Fees, deposits, and milestones are set in your SOW. Unless agreed otherwise in writing, invoices are due within 30 days, we may pause work on overdue accounts, and deposits are non-refundable once work has begun. Other refunds are handled as set out in your SOW.

Confidentiality

We keep your proprietary and sensitive business information confidential and do not disclose it to others without your consent, except as required by law. This obligation continues after the engagement ends.

Warranty

We perform services in a professional and workmanlike manner consistent with industry standards. For development projects we provide a 30-day warranty after delivery, during which we fix reported bugs at no additional cost. After that period, maintenance and support are available under a separate agreement. Except for this warranty, professional services are provided without other warranties to the fullest extent permitted by law.

Termination

Either party may end an engagement as provided in the SOW, or immediately if the other party materially breaches its terms. On termination, you owe payment for all work completed to that point, and we deliver the completed work for which payment has been received.

General

If any provision of these Terms is held unenforceable, the rest stay in effect. These Terms, together with the Privacy Policy and any SOW, are the entire agreement between us for their subject matter; the Terms do not displace those documents but make them operative. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent. The intellectual-property, confidentiality, disclaimer, and liability provisions survive termination. We may update these Terms; changes take effect when posted here with a new effective date, and your continued use of the site means you accept them.
